Business Valuation Services

Business valuation is the process of determining a company’s economic value as of a specific date by assessing its financial performance, future cash flows, assets, liabilities, sector multiples and growth potential together. At Anatrica Partners we deliver that value in a defensible report prepared in line with the International Valuation Standards (IVS).

When is it needed?

When Should a Company Be Valued?

A business valuation should precede any decision that changes ownership or capital structure. These are the ten situations we see most often:

  • 1Before selling the company or a stake in it
  • 2When bringing in a new partner or investor
  • 3During a company acquisition
  • 4When shares are transferred between partners
  • 5In mergers and acquisitions (M&A)
  • 6When preparing the company to raise capital
  • 7In partnership and succession planning at family businesses
  • 8During strategic restructuring
  • 9For financial reporting purposes
  • 10To understand current value and the potential to increase it
Sector experience

Which Sectors Do We Value?

Value comes from a different source in every sector: assets and capacity in manufacturing, recurring revenue in software, contracts and people in services. We build the valuation model around that source.

Manufacturing & Production

Machinery, automotive components, packaging, food production and textiles. Inventory and equipment valuation, production capacity analysis.

Technology & Software

Annual recurring revenue (ARR) based valuation for SaaS companies, customer lifetime value (LTV) analysis and software IP.

Retail & E-Commerce

Brand value and customer base, omnichannel models, marketplace and direct-to-consumer (D2C) businesses.

Services

Consulting, agencies, healthcare and education. Valuation of human capital and know-how, analysis of client contracts.

Construction & Real Estate

Project-based valuation, land bank and inventory valuation, a dedicated approach for projects under construction.

Logistics & Transportation

Fleet valuation, warehouse and distribution network analysis, client contracts and route analysis.

Methodology

Our Business Valuation Methods

The International Valuation Standards group valuation methods under the income, market and asset approaches. In every engagement one method becomes the primary method depending on the company’s structure, and the others cross-check the result.

01
Income approach

Discounted Cash Flow (DCF)

Discounts the free cash flows the company will generate to present value at the weighted average cost of capital (WACC). The primary method for businesses with an established track record and credible budgets.

Method details →
02
Market approach

Market Multiples

Applies EV/EBITDA, EV/Sales, P/E and P/B ratios of comparable listed companies to the company being valued.

Method details →
03
Market approach

Precedent Transaction Multiples

Based on the value actually paid in completed M&A transactions; control premiums and synergies are embedded in the price.

Method details →
04
Asset approach

Net Asset Value

Measures assets at their current values as of the valuation date and deducts liabilities. Most relevant for real estate holdings, investment companies and asset-heavy businesses.

Method details →
05
Early stage

Venture Capital (VC) Method

Discounts the expected exit value at the investor’s target return and accounts for dilution in future funding rounds.

Method details →
06
Group structures

Sum of the Parts (SOTP)

Values each business unit of a multi-division group with its own method, then aggregates at group level after deducting head-office costs and group debt.

In practice most of the time is spent before any calculation: we build the peer group by scale, geography, growth and margin proximity, and we assess intangible assets such as brands, patents and licences, customer portfolios, software rights and know-how individually. Where needed we work with CMB-licensed real estate appraisers. Which method becomes primary depends on how the company generates cash, its asset structure and how well its forecasts are supported; for details see company valuation methods and how to choose the right one.

Process

How Does the Business Valuation Process Work?

We run every business valuation in six steps. The first five lead to the report; the sixth focuses on increasing your company’s value afterwards.

  1. Initial Meeting

We listen to your objectives, your company and your expectations, share the most suitable valuation approach and estimated timeline, and provide a written fee proposal.

    2–4 days
  2. Engagement and Data Collection

We sign a valuation engagement letter that includes confidentiality provisions and request the last three years of financial statements, operational data and supporting documents.

    1 week
  3. Analysis and Normalisation

We review the financial statements line by line and normalise non-recurring income and expenses. We restate assets at current values and gather sector benchmarking data.

    1–2 weeks
  4. Valuation Calculations

We apply the methods that fit the company’s structure, weight one as the primary method and set the final value range. We explain method selection in our valuation methods article.

    1–2 weeks
  5. Reporting and Presentation

We prepare a clear report in line with the International Valuation Standards (IVS), present it to you in person and answer all your questions.

    3–5 days
  6. Value-Enhancement Recommendations

We provide an action plan showing how you can increase your company’s value before a sale: operational improvements, financial adjustments and commercial recommendations.

Timeline and documents

How Long Does a Business Valuation Take?

Report

What Does a Business Valuation Report Include?

We build the report not around a single number but to show under which assumptions that number changes. Every report has six sections:

  • Scope and basis of valueWhat is being valued, as of which date and for what purpose.
  • Normalisation scheduleEvery adjustment from reported EBITDA to adjusted EBITDA, with its rationale.
  • Results by methodDCF, multiples and net asset results side by side, and where the differences come from.
  • Sensitivity analysisThe impact of changes in discount rate and growth assumptions on value.
  • Enterprise value to equity value bridgeNet debt, excess cash, non-operating assets and debt-like items.
  • Value-enhancement recommendationsHow much each improvement area would be reflected in value.
Fees

How Is the Valuation Fee Determined?

We price valuation work on a fixed-fee basis; there is no component linked to the size of the result. Because our fee is independent of the value, we have no incentive to show a higher number. This is decisive for the independence of the report.

What drives the fee
Company size and number of business lines, readiness of financial statements, group structure and the intended use of the report
Proposal
In writing, with scope and timeline, after the initial meeting
Scope
Stand-alone or as part of a sell-side advisory mandate

To measure the stand-alone financial value of a brand we run a separate engagement: brand valuation.

Frequently asked questions

Business Valuation FAQ

The questions business owners ask most often before a valuation. For more, see our company valuation FAQ.

What is a business valuation and why do I need one?

A business valuation estimates a company’s market value by analysing its financial data, market position and future potential. Whether you are selling, bringing in a partner, planning succession or growth, knowing your real value strengthens your hand in negotiations and prevents mispricing.

Do financial statements alone determine my company’s value?

No. Revenue, profitability and debt structure are the foundation, but we also account for items that do not appear on the balance sheet, such as brand reputation, customer loyalty, technology infrastructure, sector growth potential and competitive advantage.

Which valuation methods do you use?

We combine the income, market and asset approaches: Discounted Cash Flow (DCF), Market Multiples, Precedent Transaction Multiples, Net Asset Value, the Venture Capital (VC) Method and Sum of the Parts (SOTP). In each engagement one of them is the primary method and the others cross-check the result. More detail: company valuation methods.

Is goodwill included in the valuation?

Yes. Beyond physical assets, elements such as brand awareness, customer portfolio and market credibility are reflected in value as goodwill. This is a key driver of value for long-established SMEs in particular.

How do non-operating assets (real estate, vehicles, etc.) affect the valuation?

Real estate, vehicles or idle investments not directly related to core operations are classified as non-operating assets. We first calculate enterprise value, then add these assets at current values and deduct net debt to arrive at equity value.

Can’t our own accountant do this calculation?

Accountants focus on tax and bookkeeping. Business valuation is a separate discipline that requires market analysis, sector multiples and forward projections. A report prepared by an independent adviser carries more weight with buyers and investors.

Will a valuation ensure my company sells at the highest price?

A valuation report does not set the sale price on its own; it gives you a realistic, defensible value range. With that range you can present a data-driven case to buyers and avoid unnecessary discounts in negotiations.

How long does a business valuation take?

Four to six weeks once complete documents are provided: 2–4 days for the initial meeting and scoping, 1 week for data collection, 2–4 weeks for analysis and calculations, and 3–5 days for reporting and presentation.
